Podcast Guest Release
This Podcast Guest Release (the “Release”) is between Nomad Travel & Hospitality Inc., a company based in Ontario, Canada that operates Visby (“Visby”, “we”, “us”), and the organization that accepts it to take part in Visby’s podcast (the “Partner”, “you”). The person who accepts confirms they are authorised to do so for the Partner. Your use of Visby’s website is also covered by the Terms of Service and the Privacy Policy.
1. Definitions
- Show: Visby’s podcast about travel destinations, hotels and hospitality, published under the Visby name.
- Featured Guests: the people the Partner nominates to appear in the recording.
- Recording: the audio and video of the interview and anything recorded for it, such as introductions, b-roll and still photos taken during the session.
- Episode Content: the edited episode and everything made from the Recording, including clips, trailers, excerpts, transcripts, captions, quotes, thumbnails and promotional graphics.
- Partner Materials: the names, logos, photographs, video, descriptions and other material the Partner supplies or approves for the Show.
2. The interview
- There is no fee to take part, and Visby pays no fee. Neither side owes the other money under this Release.
- The interview is recorded in audio and video, usually remotely, at a time we agree. Each Featured Guest agrees to be recorded by taking part. Visby asks every Featured Guest to confirm this at the start of the recording.
- The conversation is editorial. It is not an advertisement, and Visby decides the final edit. Visby does not promise that a particular topic, product or statement will be included.
3. Editing
- Visby may edit the Recording for length, clarity, flow, sound and picture quality, and may add music, titles, graphics and narration.
- Visby won’t edit the Recording or present excerpts in a way that changes the meaning of what a Featured Guest said or presents them misleadingly.
- Visby tells you the planned publication date in advance. If you point out a factual error or something said in confidence before publication, Visby will correct or remove it where reasonably possible.
4. Rights you give Visby
You give Visby a nonexclusive, worldwide, royalty-free, perpetual license, which Visby may pass to the companies that host and distribute its content, to:
- record, edit, reproduce and publish the Recording and Episode Content;
- make clips, trailers, excerpts, transcripts, captions, translations, quotes and promotional graphics from it;
- publish and distribute it on podcast platforms, video platforms, social media, Visby’s websites and apps, newsletters and other channels, now known or later developed;
- embed it in Visby hotel profiles, partner pages, booking pages, destination guides and travel content;
- reuse it in later Visby marketing, including compilations and future campaigns; and
- use the names, voices, likenesses, job titles and short biographies of the Featured Guests, and the Partner’s name, logos and Partner Materials, to present, identify and promote the episode and the Partner’s presence on Visby.
There is no limit on the number of posts, placements or reshares. Any promotion schedule Visby gives you is a minimum it commits to, not a maximum.
5. Your promises
- You have the authority to accept this Release for the Partner, and each Featured Guest has agreed to appear and to the uses in section 4.
- You own or have permission to supply the Partner Materials for these uses, and using them as described won’t infringe anyone’s rights.
- You won’t share information in the interview that you aren’t allowed to share, such as guests’ personal information or another company’s confidential information.
6. What you can share
- Once published, you may share the episode and the promotional assets Visby makes available to you on your own website, social channels, newsletters and internal communications, with credit to Visby.
- Please don’t re-edit the episode or clips in a way that changes their meaning, sell them, or use them to suggest Visby endorses a product.
7. Ownership
- Visby owns the Recording and the Episode Content.
- You keep all rights in your names, trademarks and Partner Materials. This Release only gives Visby the license in section 4.
8. No commercial commitment
- Accepting this Release does not make you a Visby commercial partner and does not commit you to any Visby product, fee or booking arrangement.
- If you also choose to use Visby’s hotel or partner platform, that is covered only by the separate agreement you accept for it, such as the Partner Terms or the Tour Operator Terms.
- Visby does not guarantee any number of listeners, viewers, impressions, clicks or bookings. Audience figures Visby shares describe its channels at the time, not the reach of an episode.
9. Changes after publication
- If a Featured Guest leaves your organization, tell us and we’ll update titles and descriptions we control so they aren’t presented as current staff in new posts.
- If you have a legal or safety reason for a part of the Episode Content to be removed, tell us and we’ll consider it in good faith and respond promptly.
10. Personal information
Visby handles the Featured Guests’ and your representatives’ personal information as the Privacy Policy describes, including the acceptance record we keep for this Release (name, role, email, time, IP address and browser).
11. Liability
- Neither side is liable to the other for indirect or consequential losses, or for lost profits, arising from the Show.
- You’ll cover Visby for claims that come from Partner Materials you supplied or from a breach of your promises in section 5.
12. General
- This Release is governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute about it goes to the courts of Ontario.
- Visby may transfer this Release to an affiliate or to someone who buys its business, with the Show.
- If any part of this Release can’t be enforced, the rest still applies. The version you accepted is kept with your acceptance; a later version of this page doesn’t change it.
